1. Acceptance of these Terms
These Terms of Service (“Terms”) govern your access to avoryntlabs.com (the “Site”) and any purchase you make from Avorynt Labs LLC (“Avorynt Labs,” “we,” “us,” or “our”). By using the Site or placing an order, you (“Buyer”) confirm that you have read these Terms and agree to be bound by them. If you do not agree, do not use the Site and do not place an order.
2. Eligibility and Buyer Certification
By placing an order, you certify each of the following:
- You are at least 21 years of age and legally able to enter into a binding contract.
- You are acquiring our products solely for lawful in-vitro laboratory research, and not for human or veterinary use of any kind.
- You have the training, facilities, and equipment necessary to receive, store, handle, and dispose of laboratory research materials safely.
- You are not acting on behalf of any person who intends to use these materials for consumption or administration.
Misrepresenting any of the above voids the sale. We may cancel, refuse, or reverse any order at our discretion where we believe a certification is false or the products may be misused.
3. Research Use Only
Every product sold on this Site is supplied strictly as a research chemical for in-vitro laboratory use. Our products are not intended for, and must not be used for:
- Human or animal consumption, including injection, ingestion, inhalation, or topical application.
- Any medical, therapeutic, diagnostic, preventative, or cosmetic purpose.
- Food, dietary supplement, drug, or household use.
- Repackaging, relabeling, compounding, or resale for any of the above purposes.
Nothing on this Site is a recommendation, protocol, or instruction for use in humans or animals.
4. Regulatory Status and Disclaimers
The statements on this Site have not been evaluated by the U.S. Food and Drug Administration. Our products are not drugs, supplements, or cosmetics, and are not approved by the FDA or any other agency to diagnose, treat, cure, or prevent any disease.
Avorynt Labs LLC is a supplier of research materials. We are not a compounding pharmacy or compounding facility under Section 503A of the Federal Food, Drug, and Cosmetic Act, nor an outsourcing facility under Section 503B, and we do not hold ourselves out as either.
All content on the Site is provided for informational purposes only and does not constitute medical, scientific, or legal advice.
5. Buyer Responsibilities and Indemnification
You agree to handle all products in compliance with applicable federal, state, and local law, to use appropriate personal protective equipment and laboratory controls, and to restrict access to the materials to qualified personnel.
You agree to indemnify, defend, and hold harmless Avorynt Labs LLC, its officers, members, employees, and affiliates from any claim, loss, damage, liability, or expense (including reasonable attorneys’ fees) arising out of or relating to your purchase, handling, storage, transfer, use, misuse, or disposal of any product, or your breach of these Terms.
6. Orders, Pricing, and Payment
An order is an offer to buy. No contract is formed until we confirm the order and payment clears. Processing begins on payment confirmation, not at the time the order is placed.
Prices are shown in U.S. dollars and may change without notice. We may correct pricing or description errors and cancel affected orders, refunding any amount already charged. We may require additional verification before releasing an order, and may limit or refuse quantities.
7. Shipping, Title, and Risk of Loss
Title and risk of loss pass to you when the shipment is tendered to the carrier. Delivery estimates are estimates only. We are not liable for delays caused by carriers, weather, or other conditions outside our control. Full details are in our Shipping & Returns policy, which is incorporated into these Terms.
We may decline to ship to any jurisdiction where the sale or possession of research materials is restricted, and you are responsible for knowing the law that applies where you are.
8. Chargebacks and Payment Fraud
If you believe there is a problem with an order, contact us first at avoryntlabs@gmail.com. Initiating a chargeback on an order that was delivered as described, without first contacting us, is a breach of these Terms. We may suspend or close your account, refuse future orders, and pursue recovery of the disputed amount together with any fees we incur.
9. Returns
All sales are final. Because these are temperature-sensitive laboratory materials whose chain of custody cannot be verified once they leave our control, we do not accept returns or exchanges.
If your order arrives damaged, incomplete, or incorrect, contact us at avoryntlabs@gmail.com within 7 days of the delivery date with your order number and clear photographs. We will replace or refund confirmed shipping damage or fulfillment errors at our discretion. See our Shipping & Returns policy for the full process.
10. Product Specifications
Products are supplied against the manufacturer’s stated specification, including a stated purity of 98% or above. We do not independently verify that specification and we do not currently issue Certificates of Analysis. We make no representation about purity beyond the manufacturer’s statement, nor about performance, stability, or suitability for any particular experiment or application.
If you believe a product does not conform to the stated specification, notify us within 7 days of delivery. We may require independent analytical documentation. Where non-conformance is confirmed, our liability is limited as described in Section 12.
11. Intellectual Property
The Site and its contents, including text, images, product photography, logos, and the Avorynt Labs LLC name, are owned by Avorynt Labs LLC or its licensors and protected by U.S. copyright and trademark law. You may not copy, reproduce, or use them without written permission.
12. Disclaimer of Warranties and Limitation of Liability
Except for the limited specification representation in Section 10, all products are provided “as is,” and we disclaim all other warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits or lost research, arising from the purchase or use of any product. Our total aggregate liability for any claim will not exceed the amount you paid for the product giving rise to the claim.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or any purchase will be resolved by binding arbitration administered by the American Arbitration Association in Miami-Dade County, Florida, under its Consumer Arbitration Rules.
You and Avorynt Labs LLC each waive any right to a jury trial and to participate in a class, collective, or representative action.
14. Changes, Severability, and Entire Agreement
We may revise these Terms at any time by posting an updated version with a new effective date. Continued use of the Site after a change takes effect constitutes acceptance. If any provision is held unenforceable, the remainder stays in force.
These Terms, together with our Privacy Policy and Shipping & Returns policy, are the entire agreement between you and us regarding the Site and supersede any prior understanding.
